More specifically, our firm provides tax counsel to clients in such matters as: choosing an appropriate form of business; buying and selling businesses; mergers and acquisitions; corporate distributions and reorganizations; buy-sell and shareholder agreements (including operating agreements); shareholder, member, and partner buyouts; state and local taxation; state business incentives, and; tax aspects of buying, selling and leasing real estate, including tax-free exchange transactions and property tax.
Our taxation team also has broad experience in estate and gift tax planning for individuals, and in the taxation of estates and trusts. The firm’s services in this area include drafting wills and trust agreements to achieve income, gift, and estate tax savings, and handling of all aspects of the administration of estates and trusts, including the preparation of estate and gift tax returns (Form 706).
Our tax practice involves civil litigation and administrative tax controversies. Our tax litigation attorneys represent individuals, corporations, nonprofit corporations, and other business entities in a number of tax audits at federal, state, and local government levels. We frequently represent clients before all judicial forums, which handle tax matters, from the United States Tax Court, Unites States Bankruptcy Courts, and Unites States District Court, to the local level, such as the local County Assessor (for property tax disputes).
